Investment Description

The Trust acquired three self-storage properties consisting of 1,484 units on approximately 21.63 acres with approximately 246,775 rentable square feet, which properties are located at (i) 1401 North Brazos Street, Whitney, Texas 76692 (the “Brazos St. Property”); (ii) 101 East Adams Avenue, Whitney, Texas 76692 (the “Adams Ave. Property”); and (iii) 700 FM2604, Whitney, Texas 76692 (the “FM-2604 Property” and together with the Brazos St. Property and the Adams Ave. Property, collectively, the “Properties” or each individually, a “Property”).

Business Plan

The main goals of the Trust are to (i) operate and hold the Properties pursuant to the Master Leases; (ii) preserve the capital investment of the Owners; (iii) realize income through the ownership and eventual sale, disposition, transfer, merger to facilitate a tax-deferred exchange pursuant to Section 1031 of the Internal Revenue Code of 1986, as amended (the “Code”) or an exchange roll-up transaction pursuant to Section 721 of the Code with respect to the Properties into a limited partnership or real estate investment trust (a “REIT”) (collectively, a “Disposition”); (iv) make monthly distributions to the Owners from cash generated by the Properties; and (v) take only such other actions as the Signatory Trustee deems necessary to carry out the foregoing.
